The commercial terms on which we provide design, website, social media, search and marketing services.

This document is provided as a general framework for a UK website and should be reviewed by a qualified UK legal professional before publication.

01Introduction

These terms apply to services provided by Zillion Design Limited, company number 17463487, registered office 11 Mallet Crescent, Bolton, BL1 5TQ. They apply alongside any proposal or written agreement for a specific project.

02Definitions

  • "We", "us", "our" means Zillion Design Limited.
  • "Client", "you" means the person or business engaging us.
  • "Services" means the work described in the agreed proposal.
  • "Deliverables" means the final materials supplied to you.

03Enquiries, quotes and proposals

Enquiries are not binding. Quotes and proposals are based on the information available at the time, remain valid for the period stated, and become binding when accepted in writing by both parties.

04Scope of work

The proposal defines what is included. Work outside that scope is treated as a change request and quoted separately before it begins.

05Deposits, payment and late payment

Unless agreed otherwise, a deposit is payable before work begins and the balance on completion or in agreed stages. Retainers are invoiced monthly in advance.

Invoices are payable within the period stated on the invoice. We may suspend work on overdue accounts and may charge statutory interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

06Client responsibilities and supplied assets

You agree to provide content, feedback, approvals and access promptly, and confirm you have the rights to any logos, images, fonts, copy or data you supply. You remain responsible for the accuracy of information you provide.

07Revisions, approvals and delays

Each stage includes the number of revision rounds set out in the proposal. Approval at a stage means work can continue on that basis. Timelines assume timely feedback; delays in feedback or materials may move agreed dates and, where significant, affect cost.

08Website development

Websites are tested on current mainstream browsers and common device sizes. Third-party hosting, domains, plugins and platform fees are your responsibility unless stated otherwise. Ongoing maintenance is a separate service.

09SEO, social media and advertising disclaimers

Search engines, social platforms and advertising networks are controlled by third parties and change without notice. Accordingly we do not guarantee:

  • Specific search rankings or positions.
  • A specific number of leads or enquiries.
  • A specific number of followers or level of engagement.
  • Specific revenue, sales or return on ad spend.

We commit to competent, best-practice work and clear reporting of what was done and what resulted.

10Intellectual property

Ownership of final deliverables transfers to you once all invoices are paid in full. Concepts not selected, working files, and our underlying tools and know-how remain ours. Third-party assets, fonts and software remain subject to their own licences, which you agree to maintain.

11Portfolio use

We may show completed work in our portfolio and marketing materials. If a project is confidential, tell us in writing and we will exclude it.

12Cancellation and termination

Either party may end an engagement with written notice as set out in the proposal. Work completed and costs committed up to termination remain payable. Deposits cover work already scheduled and are generally non-refundable.

13Confidentiality

Each party will keep the other's confidential information private and use it only for the purposes of the engagement.

14Liability

Our total liability in connection with the services is limited to the fees paid for the work giving rise to the claim. We are not liable for indirect or consequential loss, including loss of profit, revenue or data. Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

15Indemnity

You agree to indemnify us against claims arising from materials you supply, including claims that they infringe third-party rights.

16Force majeure

Neither party is liable for delays caused by events beyond reasonable control, including outages of third-party platforms, serious illness or acts of government.

17Governing law and jurisdiction

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
